Terms and Conditions

First Contact Network Affiliates, Inc (F.N.A.) STATEMENT: F.N.A. does not have
any mandatory purchase of any literature or websites. All F.N.A.
Affiliates AT NO COST with everything needed to conduct business with
F.N.A. via their personal replicated websites. Any additional website
features or literature is 100% optional. G.N. A. does not pay any
bonuses or commissions on the procurement and submission of First Contact
outlined in the F.N.A. compensation plan and/or the sale of F.N.A
products and services. For the purpose of this agreement An Affiliate
or An iRep means one and the same. For the purpose of this agreement
everything concerning First Contact Network Affiliates Inc; GNA connects;
F.N.A. means one and the same.
SECTION 1: INTRODUCTION
1.1 – These documents are incorporated by reference into First Contact Network
Affiliate Independent Representative Agreement (iRep) (all in their
current form and as Amended by (support Network Affiliates) it is
responsibility of each (iRep) to read, understand, adhere to enrolling
a new iRep it is the responsibility of the sponsoring iRep to ensure
that the applicant is provided with, or has online access to the most
current version of these Terms and Conditions affiliate Compensation
plan prior to his or her execution of the iRep Agreement
1.2 – Purpose of Policies
First Contact Network Affiliates is a direct sales company that markets its
data collections system, products and services through iReps. It is
important to understand that your success and the success of your
fellow iReps depends on the integrity of the men and women who market
our products and services. To clearly define relationship that exists
between iRep and network affiliate and to Affiliate, iRep are required
to comply with all of the terms and conditions set forth in the
agreement as well as all federal, state and local laws governing their
affiliates business and their conduct, because you may be unfamiliar
with many of these standard of practice, it is very important that you
read and abide by the agreement. Please review the information in the
agreement carefully. It explains the governs the relationship between
you as an independent contractor and the company. If you have any
question regarding any policies or rule do not hesitate to seek an
answer from First Contact Multi-Purpose Global Network.
1.3 – Change to the Agreement. Because Federal state and local laws,
as well as the business environment, periodically changes, First Contact
Multi-Purpose global network reserves the right to amend the agreement
and its prices in it sole and absolute discretion, By signing the iRep
agreement, an iRep agrees to abide by all amendments or modification
that Network Affiliates elects to make, Amendments shall be effective
30days after publication of notice that the agreement has been
modified, notification of amendment shall be published by one of more
of the following methods: (1) posting on the company’s official
website (2) electronic e-mail (3) inclusion in the company
periodicals (4) inclusion in product order’s or bonus checks or (5)
special mailing. The continuation of an iRep’s network Affiliates
business or an iRep’s acceptance of bonuses or commissions constitutes
acceptance of any and all amendments
1.4 – Delays:
Network affiliates shall not be responsible for delays of failures in
performance of its obligations when performance is made commercially
impractical, due to circumstances beyond its reasonable control. This
includes without limitations, strike, labour difficulties, not, war,
fire death, curtailment of a party’s source of supply or government
decrees or order’s
1.5 Policies and Provision Severable
If any provision of the agreement in its current form or as may be
amended is found to be involved, or unenforceable for any reason only
the in-valid portion(s) of the provision shall be severed and the
remaining terms and provisions shall remain in full force and affect.
The severed provision or portion shall be reformed the purpose of the
provision as closely as possible.
1.6 Waiver
The Company never give up its right to insist on compliance with the
agreement and with the applicable laws governing the conduct of a
business. No failures of network affiliates to exercise any right or
power under the agreement or to insist upon strict compliance by an
iRep with any obligation or provision of the agreement and no custom
or practice of the parties at variance with the terms of agreement
shall constitute a waiver of Network affiliate right to demand exact
compliance with the agreement. Waiver by Network affiliate can be
effectuated only in writing by an authorized officer of the company.
Network affiliate waiver of any particular breach by an iRep shall not
affect or impair Network Affiliate rights with respect to any
subsequent breach.
The existence of any claim or action of an iRep against Network
Affiliates shall not constitute a defence to Network Affiliates
enforcement of any term or provision of the Agreement.
SECTION 2 – BECOMING A AFFILIATE iRep
2.1 – Requirement to Become an iRep
To become a First Contact Network Affiliates iRep, each applicant must:
* Be of the age of majority in his or her state of residence; or
providence of his or her country of residence; or whatever the legal
age is where they are living at the time of registration;
* Reside in the Nigeria or West Africa Territories or country that
First Contact Network Affiliates has officially announced is open for
business;
* Have a valid Social Security or Federal Tax ID number in order to be
paid commissions; or tax id identification supported by the country in
which they are living in and at for all international business;
* Submit a properly completed iRep Application to First Contact Network
Affiliates either in hard copy or online format;
* Must NOT have a financial interest in another First Contact Network
Affiliates iRep position;
* Husband and wives may sign up each other but at the same time
stacking meaning an iRep will sponsor a wife or other family member
below each other to try to manipulate the compensation plan taking
rightful commission away from the upline.
2.2 – Starter Kit and Product Purchases
No person is required to purchase products or started kits to become
an iRep. In order to familiarize new iRepswith First Contact Network
Affiliates products, services, sales techniques, sales aids, and other
matters, the Company produced marketing materials will be available on
its official website.
2.3 – iRep Benefits
Once an iRep Application has been accepted by First Contact Network
Affiliates, the benefits of the Compensation Plan are available to the
new iRep. These benefits includes the right to:
* Collect and summit data collected. All iReps must summit data via
the F.N.A. back office, using either the free data module provided to
all iReps or the optional PRO First Contact module included in the optional
F.N.A. Business and Individual Benefits Package;
* Sell First Contact Network Affiliates products and services;
* Participate in the First Contact Network Affiliates Compensation Plan
(receives bonuses and commissions, If eligible);
* Sponsor other individuals as Direct Customers or iReps into the
First Contact Network Affiliates business and thereby, build a marketing
organization and progress through the First Contact Network Affiliates
Compensation Plan;
* Receive Periodic First Contact Network Affiliates literature and other Data
Network Affiliates communications;
* Participate in F.N.A. sponsored support, service, training,
motivational and recognition function;
2.4 – Term and Renewal of Your Network Affiliates Business
The terms of the iRep Agreement is month to month from the date of its
acceptance by Data Network Affiliates. There are no renewal fee or
charges. The iRep Agreement will be canceled for inactivity after six
months pursuant to Section 10.2
SECTION 3 – OPERATING A F.N.A BUSINESS
3.1 – Adherence to the First Contact Network affiliates Marketing and
Compensation Plan iReps must adhere to the terms of the First Contact Network
Affiliates Compensation Plan as set forth in official Data Network
Affiiates literature. IReps shall not offer the First Contact Network
Affiliates opportunity through, or in combination with, any other
system, program, or method or marketing other than that specifically
set forth in official First Contact Network Type equation here.Affiliates
literature. iReps shall not require or encourage other current or
prospective Direct Customers or iReps to participate in First Contact Network
Affiliates in any manner that varies from the program as set forth in
official First Contact Network Affiliates literature. iReps shall not require
or encourage other current or prospective Direct Customers or iReps to
execute any agreement or contract other than official First Contact Network
Affiliates agreement and contracts in order to become a First Contact Network
Affiliates iRep. Similarly, iReps shall not require or encourage other
current or prospective Direct Customers or iReps to make any purchase
from, or payment to any individual or other entity to participate in
the First Contact Network Affiliates Compensation Plan other than those
purchase or payments identified as recommended or required in official
First Contact Network Affiliates literature or electronic communication.
3.2 Advertising
3.2.1 – General
All iReps shall safeguard and promote the good reputation of First Contact
Network Affiliates and its products. The marketing and promotion of
network affiliates opportunity, the compensation plan, and data
network affiliates products shall be consistent with the public
interest, and must avoid all discourteous, deceptive, misleading,
unethical or immoral conduct or practices. To promote both the
products and services,and the tremendous opportunity First Contact Network
Affiliates. First Contact Network Affiliates has carefully designed its
products, product labels, Compensation Plan, and promotional material
to ensure that each aspect of First Contact Network Affiliates is fair,
truthful, substantiated, and complies with the legal requirement of
federal and state laws. If First Contact Network Affiliates iReps develop
their own sales tools and promotional materials, notwithstanding their
intergrity and good intentions, there is a considerable likelihood
that they would unintentionally violate any number of statutes of
regulations affecting a First Contact Network Affiliate Business. These
violations although they may be relatively few in number, would
jeopardize the First Contact Network opportunity for all iReps. Accordingly,
iRepss must not produce their own literature, advertisements, sales
tools and promotional materials, or internet web pages. Unless
authorized by F.N.A. in writing.
3.2.1.1 Social Networking
All iReps shall safeguard and promote the good reputation of Network
Affiliates and its products. Even though iReps are permitted to
promote First Contact Network Affiliate’s product or the Network Affiliates
opportunity on blog sites, social networks, or other forums, iReps
must follow the guidelines and use First Contact Network Affiliates provided
templates.
3.2.2 – iRep Web Sites
If an iRep desires to utilize an internet web page to promote his or
her business, he or she must use an official Data Network Affiliates
replicated website. No websites other than First Contact Network Affiliates
provided replicated websites are permitted.
3.2.2.1 iRep Team Sites
Team Sites used for information and training are exempt. The company
must be provided with a link to any team sites within 24 hours of
their publication.
3.2.3 – Online Auctions and other Online Forums
iReps may not sell First Contact Network Affiliates’s product through online
auction, barter, or brokerage sites, including but not limited to
Craig’s list and ebay
3.2.4 – Domain Names
iReps may not use or attempt to register any of First Contact Network
Affiliates’s trade names, trademarks, service names, service marks,
product names, the company’s name, or any derivative thereof, for any
internet domain name, URL or email address.
3.2.5 – Trademarks and Copyrights
Network affiliates will not allow the use of its trade names,
trademarks, designs, or symbols by any person, including First Contact Network
Affiliates iReps, without its prior, written permission. iReps may not
produce for sale or distribution any recorded Company events and
speeches without written permission from Data Network Affiliates nor
may iReps reproduce for sale or for personal use any recording of
Company-produced audio or video tape presentations
3.2.6 – Media and Media Inquiries
iReps must not attempt to respond to media inquiries regarding First Contact
Network Affiliates, its products or services, or their independent
First Contact Network Affiliates business. All inquiries by any type of media
must be immediately referred to First Contact Network Affiliates’ Compliance
Department (all compliance issues initially directed to the customer
service department).
3.2.7 – Unsolicited Email
Network Affiliates does not permit iReps to send unsolicited
commercial emails strictly comply with applicable laws and regulations
including, without limitation, the federal CAN SPAM Act. Any email
sent by an iRep that promotes First Contact Network Affiliates, the First Contact
Network Affiliates opportunity, ot First Contact Network Affiliates products
and services must comply with the following.
* There must be a functioning return email address to the sender;
* There must be a notice in the email that advices the recipient that
he or she may reply to the email, via the functioning return email
address, to request that future email solicitations or correspondence
not be sent to him or her (a functioning opt-out notice);
* The email must include the iRep’s physical mailing address;
* The email must clearly and conspicuously disclose that the message
is an advertisement or solicitation;
* The use of deceptive subject lines and/or false header information
is prohibited;
* All opt-out requests, whether received by email or regular mail ,
must be honoured. If an iRep receives an opt-out request from a
recipient of an email, the iRep must forward the opt-out request to
the Company;
Network affiliates may periodically send commercial emails on behalf
of iReps. By entering into the iRep Agreement. iRep agrees that the
company may send such emails and that the iRep’s physical and email
addresses will be included in such emails as outlined above. iReps
shall honour opt-out requests generated as a result of such emails
sent by the Company.
3.2.8 Unsolicited Faxes
Except as provided in his section, iReps may not use or transmit
unsolicited faxes or use an automatic telephone dialling system
relative to the operation of their First Contact Network Affiliates
businesses. The term automatic telephone dialing system means
equipment which has the capacity to: (a) store or produce telephone
numbers to be called, using a random or sequential number generator;
and (b) to dial such numbers. The terms “unsolicited faxes’ means the
transmission via telephone facsimile of any material or information
advertising or promoting Network Affiliates, its products, its
compensation plan or any other aspect of the company which is
transmitted to any person, except that these terms do not include a
fax or email: (a) to any person with that person’s prior express
invitation or permission; or (b) to any person with whom the iRep has
an established business or personal relationship. The term
“established business or personal relationship” means a prior or
existing relationship formed by a voluntary two way communication
between an iRep and a person, on the basis of; (a) an inquiry,
application, purchase or transaction by the person regarding products
offered by such iRep; or (b) a personal or familial relationship,
which relationship has not been previously terminated by either party.
3.2.9 Business Cards, Telephone Book Listings
The name of Network affiliates and other names as may be adopted by
First Contact Network Affiliates such as GNA connects are proprietary trade
names, trademarks and service marks of First Contact Network Affiliates. As
such, these marks are of great value to First Contact Network Affiliates and
are supplied to iReps for their use only in an expressly authorized
manner. Use of First Contact Network Affiliates name on any item not produced
by the company is prohibited except as follows; iReps may list
themselves as an Independent First Contact Network Affiliates Network
Affiliates iRep in the white or yellow pages of the telephones
directory under their own name. No iRep may place telephone directory
display ads using First Contact Network Affiliate’s name or logo. iReps may
not answer the telephone by saying Network Affiliates, Network
Affiliates, LLC or in any other manner that would lead the caller to
believe that he or she has reached corporate office of Network
Affiliates
3.3 – Bonus Buying Prohibited
Bonus buying is strictly and absolutely prohibited. Bonus buying
includes: (a) the enrolment of individuals or entities without the
knowledge of and/or execution of an iRep Application by such
individuals or entities; (b) the fraudulent enrolment of an individual
or entity as an iRep or Direct Customer; (c) the enrolment or
attempted enrolment of non-existent individuals or entities as iReps
or Direct Customers (phantoms); (d) Purchasing First Contact Network
Affiliates products or services on behalf of another iRep or Direct
Customer, or under another iRep’s or Direct Customer’s ID number, to
qualify for commission or bonuses; (e) purchasing excessive amounts of
goods or services that cannot reasonably be consumed or used in a
month; and/or (f) any other mechanism or artifice to qualify for rank
advancement, incentives, prizes, commission or bonuses that is not
driven by bona fide product or services purchases by end user
consumers.
3.4 Change of Sponsor
To protect the integrity of all marketing organizations and safeguard
the hard work of all iReps, First Contact Network Affiliates strongly
discourages changes in sponsorship. Maintaining the integrity of
sponsorship is critical for the success of every iRep and marketing
organization. Accordingly, the transfer of a First Contact Network Affiliates
business from one sponsor to another is rarely permitted. Requests
for change of sponsorship must be submitted in writing to the Customer
Service Department, and must include the reason for the transfer.
Transfers will only be considered in the following three
circumstances:
3.4.1 – Misplacement
The F.N.A Compensation Plan has been designed so that an iRep who may
have made a mistake in the initial signup process may immediately
re-sign up under the correct iRep. Since the system will not allow two
of the same e-mails to be in the system the iRep will need to log into
the misplacement back office and change the original e-mail prior to
attempting to signup under the correct sponsor. Then the mistaken
position which is now owned by its sponsor may place whoever is such.
This is in cases in which the new iRep is sponsored by someone other
than the individual he or she was led to believe would be his or her
sponsor, an iRep may request that he or she be transferred to another
organization with his or her entire marketing organization intact.
Request for transfer under this policy will be evaluated on a
case-by-case basis and must be made by 5:00 pm, Easter time, on or
before the third business day following the date of the application.
The request must be submitted to the customer Service Department. The
iRep requesting the change has the burden of proving that he or she
was placed beneath the wrong sponsor. It is up to First Contact Network
Affiliates’ discretion whether the request change will be implemented.
3.4.2 Cancellation and Re-application
An iRep may legitimate change organizations by voluntarily cancelling
his or her First Contact Network Affiliates business and remaining inactive
(i.e no purchases of First Contact Network Affiliates products, no sales of
First Contact Network Affiliates products, no sponsoring, no attendance at any
Network Affiliates functions, participation in any other form of iRep
activity, or operation of any other First Contact Network Affiliates business)
for six (6) full calendar months. Following the six month period of
inactivity, the former iRep may reapply under a new sponsor, however,
the former iRep’s down line will remain in their original line of
sponsorship.
3.4.3 – Waiver of Claims for the Unauthorized Organizational Changes
In cases where in the appropriate sponsorship change procedures have
not been followed and a down line organization has been developed in
the second business develop by an iRep, First Contact Network Affiliates
reserves the sole and exclusive right to determine the final
disposition of the down line organization. Resolving conflicts over
the proper placement of a down line that has developed under an
organization that has improperly switched sponsors is often extremely
difficult. THEREFORE, DISTRIBUTION WAIVE ANY AND ALL CLAIMS AGAINST
First Contact Network Affiliates, ITS OFFICERS, DIRECTORS, OWNER, AGENTS AND
EMPLOYEES THAT RELATE TO OR ARISE FROM Data Network Affiliate’s
DECISION REGARDING THE DISPOSITION OF ANY DOWNLINE ORGANIZATION THAT
DEVELOPS BELOW AN ORGANIZATION THAT HAS IMPROPERLY CHANGED LINES OF
SPONSORSHIP.
3.4.4 A newly sponsored iRep will be placed in the sponsoring iRep’s
next available position in all income grids. One placed, all other
transfer policies apply
3.5 – Unauthorized Claims and Actions
3.5.1 – Indemnification
An iRep is fully responsible for all of his or her verbal and written
statements made regarding Data Network Affiliates products, services,
and the Compensation Plan which are not expressly contained in
official First Contact Network Affiliates materials. iReps agree to indemnify
First Contact Network Affiliates and First Contact Network Affiliate’s Directors,
officers, employees and agents, and hold them harmless from any and
all liability including judgments, civil penalties, refunds, attorney
fees, court costs, or lost business incurred by Data Network
Affiliates as a result of the iRep’s unauthorized representations or
action. This provision shall service the termination of the iRep
Agreement.
3.5.3 Income Claims
In their enthusiasm to enrol prospective iReps, some iReps are
occasionally tempted to make income claims or earning representations
to demonstrate the inherent power of network marketing. This is
counterproductive because new iReps may become disappointed very
quickly if their results are not as extensive or as rapid as the
results others have achieved. At First Contact Network Affiliates, we firmly
believe that the First Contact Network Affiliates income potentials is great
enough to be highly attractive, without reporting the earnings of
others. Moreover, the Federal Trade Commission and several states have
laws or regulations that regulate or even prohibit certain types of
income claims and testimonials made by persons engaged in Network
marketing. While iReps may believe it beneficial to provide copies of
checks, or to disclose the earnings of themselves or others, such
approaches have legal consequence that can negatively impact First Contact
Network Affiliates as well as the iReps making the claim unless
appropriate disclosure required by law are also made contemporarily
with the income claim or earnings representation. Because First Contact
Network Affiliates iReps do not have the data necessary to comply with
the legal requirements for making income claims, an iRep, when
presenting or discussing the First Contact Network Affiliates opportunity or
compensation Plan to a prospective iRep, may not make income
projections, income claims, or disclose his or her First Contact Network
Affiliates (including the showing of checks, copies of checks, bank
statements, or tax records).
3.6 – Commercial Outlets
iReps may not sell First Contact Network Affiliates products from a commercial
outlet, nor may iReps display or sell First Contact Network Affiliates
products in any retail or service establishment where competitive
products are displayed or sold.
3.7 – Trade Shows, Expositions and other Sales Forums
iReps may display and/or sell First Contact Network Affiliates products at
trade shows and professional expositions. Before submitting a deposit
to the event promoter, iReps must contact the customer service
department in writing for conditional approval, as First Contact Network
Affiliate’s policy is to authorize only one Data Network Affiliates
business per event. Final approval will be granted to first iRep who
submits an official advertisement of the event, a copy of the contract
signed by both the iRep and the event official, and a receipt
indicating that a deposit for the booth has been paid. Approval is
given only for the event specified. Any requests to participate in
future events must again be submitted to the customer service
department. First Contact Network Affiliates further reserves the right to
refuse authorization to participate at any function which it does not
deem a suitable forum for the promotion of its products, services, or
the First Contact Network Affiliates opportunity. Approval will not be given
for swap meets, garage sales, flea markets or farmer’s markets as
these events are not conducive to the professional image First Contact Network
Affiliates wishes to portray.
3.8 Conflicts of Interest
3.8.1 – Non solicitation
First Contact Network Affiliates iReps are free to participate in other
multilevel or network marketing business ventures or marketing
opportunities (collectively network marketing). However, during the
term of this Agreement, iReps may not directly or indirectly recruit
other First Contact Network Affiliates iReps or Direct Customers for any other
network marketing business. Following the cancellation of an iRep’s
independent iRep Agreement, and for a period of six calendar months
thereafter, with the exception of those iReps who are personally
sponsored by the former iRep, a former iRep may not recruit any First Contact
Network Affiliates iRep or Direct Customer for another network
marketing business. iReps and the company recognize that because
network marketing is conducted through networks of independent
contractors dispersed across the entire United States and
internationally and business is commonly conducted via the internet
and telephone, an effort to narrowly limit the geographic scope of
this non-solicitation provision would render it wholly ineffective.
Therefore, iReps and First Contact Network Affiliates agree that this
non-solicitation provision shall apply to all markets in which First Contact
Network Affiliates conducts business. The term recruit means the
actual or attempted sponsorship, solicitation, enrolment,
encouragement, or effort to influence in any other way, either
directly, indirectly, or through a third party, another First Contact Network
Affiliates iRep or Direct Customer to enrol or participate in another
multilevel marketing, network marketing or direct sales opportunity
3.8.2 – Sales of Competing Goods and Services
iReps must not sell, or attempt to sell, any competing non- First Contact
Network Affiliates programs, products or services to First Contact Network
Affiliates Direct Customers or iReps. Any program, product or services
in the same generic categories as First Contact Network Affiliates products or
services is deemed to be competing, regardless of differences in cost,
quality or other distinguishing factors
3.8.3 iRep Participation in Other Direct Selling Programs
If an iRep is engaged in other non- First Contact Network Affiliates direct
selling programs. It is the responsibility of the iRep to ensure that
his or her First Contact Network Affiliates business is operated entirely
separate and apart from any other program. To this end, the following
must be adhered to:
iReps shall not display First Contact Network Affiliates promotional material,
sales aids, products or services with or in the same location as, any
other non- Data Network Affiliates promotional materials or sales
aids, products or services.
iReps shall not offer First Contact Network Affiliates opportunity, products
or services to prospective or existing Direct Customers or iReps in
conjunction with any non- First Contact Network Affiliates program,
opportunity, product or services.
iReps may not offer any non- First Contact Network Affiliates opportunity,
products or services or opportunity at any First Contact Network Affiliates-
related meeting is held telephony or on the internet, any non- First Contact
Network Affiliates meeting must be at least two hours before or after
the First Contact Network Affiliates meeting, and on a different conference
telephone number or internet web address from the First Contact Network
Affiliates meeting.
First Contact Network Affiliates iReps understand that First Contact Network
Affiliates corporate decisions will be made by majority and no one
owner or manager can make policy decision or approval. iReps will not
solicit one or more corporate officers or managers for special favours
or exceptions
3.8.4 – Down line Activity(Genealogy) Reports
First Contact Network Affiliates may, in its discretion, provide iReps with a
down line genealogy report. Access to a genealogy report is a
privilege, and not a right. First Contact Network Affiliates reserves the
right to deny iReps access to a genealogy report at its sole
discretion.
All Downline activity reports and the information contained therein
are confidential and constitute proprietary information and business
trade secret belonging to First Contact Network Affiliates. Down line Activity
Reports are provided to its iReps in strictest confidence and are made
available to iReps for the sole purpose of assisting iReps in working
with their respective Down line Organisation in the development of
their First Contact Network Affiliates business. iReps should use their Down
line Activity Reports to assist, motivate and train their down line
iReps. The iReps and First Contact Network Affiliates agrees that, but for
this agreement of confidentiality and nondisclosure, First Contact Network
Affiliates would not provide down line activity reports to the iRep.
Therefore, if a down line activity report is provided to an iRep, the
iRep shall not, on his or her own behalf of any other person,
partnership, association, corporation or other entry.
Directly or indirectly disclose any information contained in any down
line activity report to any third party;
Directly or indirect disclose the password or other access code to his
or her down line activity report;
Use the information to compete with First Contact Network Affiliates or for
any purpose other than promoting his or her First Contact Network Affiliates
business;
Recruit or solicit any iRep or Direct Customer of First Contact Network
Affiliates listed on any report, or in any manner attempt to influence
or induce any iRep or Direct Customer of First Contact Network Affiliates, to
alter their business relationship with Data Network Affiliates; or
Use or disclose to any person, partnership, association, corporation,
or other entity any information contained in any down line activity
report;
Upon Demand by the company, any current or former iRep will return the
original and all copies of Down line Activity Reports to the company.
Furthermore, iRep agrees that all Down line Activity Reports and the
information contained therein, as well as any other confidential
information, proprietary information and/or business trade secrets
belonging to First Contact Network Affiliates are unique and extraordinary,
and that the breach of any of the provision of the Agreement relating
to same cannot be compensated reasonably or adequately by legal
remedies alone and First Contact Network Affiliates would be irreparable
damaged were iRep to violate any provision of the Agreement relating
to same. Accordingly, in addition to any other remedies that may be
available, First Contact Network Affiliate shall be entitled to equitable
relief, including an injunction, specific performance , or other
relief necessary to prevent a breach of these provisions of the
Agreement. This provision shall not be constructed as a waiver of any
of the rights that First Contact Network Affiliates may have in addition to
the equitable remedies described in this paragraph
3.9 – Targeting Other Direct Sellers
First Contact Network Affiliates does not condone iReps specifically or
continuously targeting the sales force of another direct sales company
to sell First Contact Network Affiliates products or to become iReps for Data
Network Affiliates, nor does First Contact Network Affiliates condone iReps
solicitation or enticement of members of the sales force of another
direct sales company to violate the terms of their contract with such
other company. Should iReps engage in such activity, they bear the
risk of being sued by the other direct sales company. If any lawsuit,
arbitration or mediation is brought against an iRep alleging that he
or she engaged in inappropriate recruiting activity of its sales force
or customers, First Contact Network Affiliates will not pay any iRep’s defence
cost or legal fees, nor will First Contact Network Affiliates indemnify the
iRep for any judgment, award, or settlement.
3.10 – Cross-Sponsoring
Actual or attempted cross sponsoring is strictly prohibited. Cross
sponsoring is defined as the enrolment of an individual who or entity
that already has a current Direct Customer or iRep Agreement on file
with First Contact Network Affiliates, or who has had such an agreement within
the preceding six calendar months, within a different line of
sponsorship. The use of spouse’s or relative’s name, trade names,
DBAs, assumed names, corporations, partnerships, trusts, federal ID
numbers, factious ID numbers, any straw-man or other artifice to
circumvent this policy is prohibited. iReps shall not demean,
discredit or defame other First Contact Network Affiliates iReps is an attempt
to entice another iRep to become part of the first iRep’s marketing
organization. This policy shall not prohibit the transfer of a First Contact
Network Affiliates business in accordance with the Agreement. If Cross
sponsoring is discovered, it must be brought to the company’s
attention immediately. First Contact Network Affiliates may take disciplinary
action against the iRep that changed organizations and/or those iReps
who encouraged of participated in the Cross Sponsoring.First Contact
Network Affiliates may also move all or part of the offending iRep’s
down line to his or her original down line organization if the company
deems it equitable and feasible to do so. However, First Contacts
Network Affiliates is under no obligation to move the cross sponsored
iRep’s down line organization and the ultimate disposition of the
organization remains within the sole discretion of First Contacts
Network Affiliates. iReps waive all claims and causes of action
against First Contacts Network Affiliates, its officers, directors,
owners, agents and employees arising from or relating to the
disposition of the cross sponsored iRep’s down line organization
3.11 Errors or Question
If an iRep has questions about to believe any errors have been made
regarding commissions, bonuses, Down line Activity Reports, or
charges, the iRep must notify First Contacts Network Affiliates in
writing within 90 days of the date of the purported error or incident
in question. First Contacts Network Affiliates will not be responsible
for any errors. Omissions or problems not reported to the company
within 60 days.
3.12 – Governmental Approval or Endorsement
Neither federal not state regulatory agencies or officials approve or
endorse any direct selling or network marketing companies or programs.
Therefore, iReps shall not represent or imply that First Contacts
Network Affiliates or its compensation plan have been “approved” or
“endorsed” or otherwise sanctioned by any government agency.
3.13 Holding Application or Orders
iReps must not manipulated enrolments of new applicants and purchase
of products. All iRep applications and agreements, and product orders
must be sent to First Contact Network Affiliates within 72 hours from the time
they are signed by an iRep or place by a customer, respectively
3.14 Identification
All iReps are required to provide their Social Security Number, or a
Federal Employer Identification Number to First Contact Network Affiliates
before a commission can be paid. Upon enrolment, the company will
provide a unique Member ID to the iRep by which he or she will be
identified. This number will be used to place orders, and track
commissions and bonuses.
3.15.1 – Non U.S. Citizen iReps
If an iRep is not Nigerian Citizen, the iRep must submit a contract
form. Otherwise First Contact Network Affiliates will withhold the maximum
amount allowed under the Internal Revenue Code or IRS Regulation.
3.16 – Independent Contractor Status
iReps are independent contractors, and are not purchasers of a
franchise or a business opportunity. The agreement between First Contact
Network Affiliates and its iReps does not create an employer/employee
relationship, agency, partnership, or joint venture between the
company and the iRep. iReps shall not be treated as an employee for
his or her services or for Federal or State tax purpose. All iReps are
responsible for paying local, state and federal taxes due from all
compensation earned as an iRep of the Company, The iRep has no
authority (expressed or implied), to bind the company to any
obligation. Each iRep shall establish his or her own goals, hours and
method of sale, so long as her or she complies with the terms of the
iRep Agreement, these Terms and Conditions, and applicable laws.
3.17 – Insurance
You may wish to arrange insurance coverage for your business. Your
homeowner’s insurance policy does not cover business-related injuries
or the theft of or damage to inventory or business equipment. Contact
your insurance agent to make certain that your business property is
protected. This can often be accomplished with a simple Business
Pursuit endorsement attached to your present home
3.18 – International Marketing
iReps operating outside of the Nigeria must comply with the laws of
each country in which they operate
3.19 – Inventory Loading
iReps must never purchase more products than they can reasonably
consume or use in a month, and must not influence or attempt to
influence any other iRep to buy more products that they can reasonably
consume or use in a month
3.20 – Adherence to Laws and Ordinances
iReps shall comply with all federal, state and local laws and
regulations in the conduct of their businesses. Many cities and
counties have laws regulating certain home-base businesses. In some
cases these ordinances are not applicable to iReps because of the
nature of their business. However, iReps must obey those laws that do
apply to them. If a city or county official tells an iRep that an
ordinance applies to him or her, the iRep shall be polite and
cooperative, and immediately send a copy of the ordinance to the
Compliance Department of First Contacts Network Affiliates. In some
cases there are exceptions to the ordinance that may apply to First
Contacts Network Affiliates iReps
3.21 – Minors
A person who is recognized as a minor in his/her state of residence
may not be a First Contacts Network Affiliates iRep. iRep shall not
enroll or recruit minors into the First Contacts Network Affiliates
program.
3.22 – Sale transfer, Assignment or alteration of ownership interest
of First Contacts Network Affiliates Business
Although a First Contacts Network Affiliates business is a privately
owned independently operated business, the sale , transfer,
assignment, or alteration or ownership interest (e.g. adding a
partner) of a First Contacts Network Affiliates business is subject to
certain limitations. If an iRep wishes to sell his or her First
Contacts Network Affiliates business, the following criteria must be
met:
3.22.1 – Protection of the existing line of sponsorship must always be
maintained so that the First Contacts Network Affiliates business
continues to be operated in that line of sponsorship
3.22.2 – The buyer or transferee must become a qualified First
Contacts Network Affiliates iRep. If the buyer is an active First
Contacts Network Affiliates iRep, he or she must first terminate his
or her First Contacts Network Affiliates business before acquiring any
interest in a different First Contacts Network Affiliates business.
3.22.3 – Before the sale, transfer or assignment can be finalized and
approved by First Contacts Network Affiliates, any Debt obligations
the selling iRep has with First Contacts Network Affiliates must be
satisfied.
3.22.4 – The selling iRep must be in good standing and not in
violation of any of the terms of the Agreement in order to be eligible
to sell, transfer or assign a First Contacts Network Affiliates
business.
3.22.5 – While First Contacts Network Affiliates will not withhold
approval of sale or transfer unreasonably, First Contacts Network
Affiliates reserves the right to prevent such sale if sale imperils
First Contacts Network Affiliates business and/or to negotiate
transfer or sale of iRep’s position to First Contact Network
Affiliates itself. Prior to selling First Contacts Network Affiliates
business, the selling iRep must notify by First Contact Network
Affiliates’s Customer Service Department of his or her intent to sell
the First Contact Network Affiliates business. No change in lines of
sponsorship can result from the sale or transfer of First Contacts
Network Affiliates business.
3.23 – Separation of a First Contacts Network Affiliates Business
First Contacts Network Affiliates iReps sometimes operate their First
Contacts Network Affiliates businesses as husband-wife partnerships,
regular partnerships, corporation, or trusts. At such time as a
marriage may end in divorce or a corporation, partnership or trust
(the latter three entities are collectively referred to herein as
entities) may dissolve, arrangements must be made to assure that any
separation or three division or the business is accomplished so as not
to adversely affect the interests and income of other businesses up
and down in the line of sponsorship. If the separating parties fail
to provide for the best interests of other iReps and the company in a
timely fashion, First Contacts Network Affiliates will involuntarily
terminate the iRep Agreement. During the divorce or entity dissolution
process, the parties must adopt one of the following methods of
operation:
3.23.1 – One of the parties may, with consent of the other(s), operate
the First Contacts Network Affiliates business pursuant to an
assignment in writing whereby the relinquishing spouse, shareholders,
partners or trustees authorize First Contacts Network Affiliates to
deal directly and solely with the other spouse or non-relinquishing
shareholder, partner or trustees.
3.23.2 – The parties may continue to operate the First Contacts
Network Affiliates business jointly on a business-as-usual basis,
whereupon all compensation paid by First Contacts Network Affiliates
will be paid according to the status quo as it existed prior to the
divorce filling or dissolution proceedings. This is the default
procedure if the parties do not agree on the format set forth above
Under no circumstances will the Down line Organisation of divorcing
spouses or dissolving business entity be divided. Similarly, under no
circumstances will First Contacts Network Affiliates split commission
and bonus checks between divorcing spouses or members of dissolving
entities. First Contacts Network Affiliates will recognize only one
Down line organization and will issue only one commission check per
First Contacts Network Affiliates business per commission cycle.
Commission checks shall always be issued to the same individual or
entity. In the event that parties to a divorce or dissolution
proceeding are unable to resolve a dispute over the disposition of
commissions and ownership of the business in a timely fashion as
determined by the company, the iRep Agreement shall be involuntarily
cancelled. If a former spouse has completely relinquished all rights
in the original First Contacts Network Affiliates business pursuant to
a divorce, he or she is thereafter free to enrol under any sponsor of
his or her choosing without waiting six calendar months. In the case
of business entity dissolution, the former partner, shareholder,
member, or other entity affiliate who retains no interest in the
business must wait six calendar months from the date of the final
dissolution before re-enrolling as an iRep. In either case however,
the former spouse or business affiliate shall have no rights to any
iReps in their former organization or to any former retail customer.
They must develop the new business in the same manner as would any new
iRep.
3.24 – Sponsoring
All active iReps in good standing have the rights to sponsor and enrol
others into First Contacts Network Affiliates. Each prospective Direct
Customer or iRep has the ultimate right to choose his or her own
sponsor. If two iReps claim to be the sponsor of the same new iRep or
Direct Customer, the Company shall regard the first application
received by the company as controlling.
3.25 – Succession
Upon the death or incapacitation of an iRep, his or her business may
be passed to his or her heirs. Appropriate legal documentation must be
submitted to the company to ensure the transfer is proper.
Accordingly, an iRep should consult an attorney to assist him or her
in the preparation of a will or other testamentary instrument.
Whenever a First Contacts Network Affiliates business is transferred
by a will or other testamentary process, the beneficiary acquires the
right to collect all bonuses and commissions of the deceased iRep’s
marketing organization provided the following qualifications are met.
The successor(s) must :
* Execute an iRep agreement;
* Comply with terms and provisions of the agreement;
* Meet all of the qualifications for the deceased iRep’s status;
* Bonus and commission checks of a First Contacts Network Affiliates
business transferred pursuant to this section will be paid in a single
check jointly to the devisees. The devisees must provide First
Contacts Network Affiliates with an address of record to which all
bonus and commission checks will be sent;
* If the business is bequeathed to joint devises, they must form a
business entity and acquire a federal taxpayer identification Number,
First Contacts Network Affiliates will issue all bonus and commission
check and one 1099 to the business entity
3.25.1 – Transfer Upon Death of an iRep
To effect a testamentary transfer of a First Contacts Network
Affiliates business, the executor of the estate must provide the
following to First Contacts Network Affiliates: (1) an original death
certificate; (2) certified letters testamentary or a letter of
administration appointing an executor; (3) instructions from the
authorized executor to First Contacts Network Affiliates specifying to
whom the business and income should be transferred; and (4) a
completed iRep Agreement executed by the beneficiary.
3.25.2 – Transfer Upon Incapacitation of an iRep
To effectuate a transfer of a First Contacts Network Affiliates
business because of incapacity, the successor must provide the
following to First Contacts Network Affiliates: (1) a notarized copy
of an appointment as trustee; (2) a notarized copy of the trust
document or other documentation establishing the trustee’s right to
administer the First Contacts Network Affiliates business; and (3) a
completed iRep agreement executed by the trustee.
3.26 – Telemarketing Techniques
The Federal Trade Commission and the Federal Communication Commission
each have laws that restrict telemarketing practices both federal
agencies (as well as a number of states) have do not call regulations
as part of their telemarketing laws. Although First contacts Network
Affiliates does not consider iReps to be telemarketers in the
traditional sense of the word, these government regulations broadly
define the terms telemarketer and telemarketing so that your
inadvertent action of calling someone whose telephone number is listed
on the federal do not call registry could cause you to violate the
law. Moreover, these regulations must not be taken lightly, as they
carry significant penalties (up to $11, 000.00 per violation).
Therefore, iReps must not engage in telemarketing in the operation of
their First Contacts Network Affiliates businesses. The term
telemarketing means the placing or one or more telephone calls to an
individual or entity to induce the purchase of a First Contact Network
Affiliates product or service, or to recruit them for the First
Contacts Network Affiliates opportunity. Cold calls” made to
prospective Direct customers or iRep (a “prospect”) is permissible
under the following situations:
* If the iRep has an establishment business relationship with the
prospect. An established business relationship between an IRep and a
prospect based on the prospect’s purchase, rental, or lease of goods
or services from the iRep, or financial transaction between the
prospect and the iRep, within the eighteen(18) months immediately
preceding the date of a telephone call to induce the prospect’s
purchase of a product or service.
* The prospect’s personal inquiry or application regarding a product
or service offered by the iRep, within the three(3) months immediately
preceding the date of such a call.
* If the iRep receives written and signed permission from the prospect
authorizing the iRep to call. The authorization must specify the
telephone number(s) which the Rep is authorization to call.
* You may call family members, personal friends, and acquaintances. An
acquaintance is someone with whom you have at least a recent
first-hand relationship within the preceding three months. Bear in
mind, however, that if you engage in card collecting with everyone you
meet and subsequently calling them, the FCT may consider this form of
telemarketing that is not subject to this exemption. Thus if you
engage in calling acquaintance, you must make such calls on an
occasional basis on and make this a routine practice.
* In addition, iReps shall not use automatic telephone dialling
systems relative to the operation of their First Contacts Network
affiliates businesses. The term automatic telephone dialling system
means equipment which has the capacity to (a) store or produce
telephone numbers to be called, using random or sequential number
generator; and (b) to dial such numbers.
SECTION 4 RESPONSIBILITIES OF DISTRIBUTORS
4.1- Change of Address, telephone, and E-mail Addresses
To ensure timely delivery of products, support materials and
commission checks, it is critically important that the First Contacts
network affiliates files are current. Street addresses are required
for shipping since UPS cannot deliver to a post office pox. iRep
planning to change their e-mail address or move must send their new
address and telephone numbers to First Contacts Network Affiliates
corporate Offices to the Customer service Department. To guarantee
proper delivery, two week advance notice must be provided to First
Contacts Network affiliates on all changes.
4.2-Continuing Development Obligations
4.21- ongoing training
Regardless of their level of achievement, iRep have an ongoing
obligation to continue to personally promote sales by generating new
customers and servicing their existing customers.
4.2.2- Increased training responsibilities
As iReps progress through the various levels of leadership, they will
become more experienced in sales techniques, product knowledge, and
understanding of the First Contacts Network Affiliates program. They
will be called upon to share this knowledge with leisure experienced
iReps within their organization.
4.3- Non disparagement
First Contacts Network Affiliates wants to provide its iReps with the
best products, compensation plan, and service in the industry.
Accordingly, we value your constructive and comments. All such
comments should be submitted in writing to the customer service
department. Remember, to best serve you, we must hear from you! While
First Contacts network Affiliates welcomes constructive input,
negative comments and remarks made in the field by iReps about the
company, its products, or compensation plan serve no purpose other
than to sour the enthusiasm of other First Contacts Network
Affiliate’s products, the Compensation Plan, or First Contacts Network
Affiliate’s directors, officers, or employees.
4.4- Providing Documentation to Applicants
iReps provide the most current version of the term and conditions and
the compensation plan to individuals whom they are sponsoring to
become iReps before the applicants signs an iRep Agreement. Additional
copies of Terms and Conditions can be downloaded from First Contacts
Network Affiliate’s website.
4.5- Reporting Policy Violations
iReps observing a\ policy violation by another iRep should submit a
written report of the violation directly to the attention of the First
Contacts Network Affiliates Compliance department. Details of the
incidents such as dates, number of occurrences, persons involved, and
any supporting documentation should be included in the report.
SECTION 5- SALES REQUIREMENTS
5.1- Product sales
The First Contacts Network Affiliates Compensation Plan is based on
the procuring of automobile license tag information and/or other types
of personal and business data and/or the sale of First Contacts
Network Affiliates products and services to end consumers (both Direct
Customers and iReps). iReps must satisfy the personal business volume
requirements as specified in the First Contacts Network Affiliates
compensation Plan. iReps agree that a minimum of 70% of all products
they purchase have been consumed or used before placing their next
order.
5.2- Sales Restrictions
There are no exclusive territories granted to anyone. No franchise
fees are required
5.3- Sales Receipts
All iReps must provide their retail customers with 2 copies of sales
receipt at the time of the sale
SECTION 6- BONUSES AND COMMISSIONS
6.1- Bonus and Commission Qualifications
An iRep must be active and in compliance with the Agreement to qualify
for bonuses and commissions. So long as an iRep complies with the
terms of the Agreement, First Contacts Network Affiliates shall pay
commissions to such iRep in accordance with the compensation Plan. The
minimum amount for which First Contacts Network Affiliates will issue
a check is $20.00. if an iRep’s bonuses and commissions do not equal
or exceed $20.00, the company will accrue the commissions and bonuses
until they total $20.00. A check will be issued once $20.00 has been
accrued.
6.2- Adjustment to Bonuses and commissions
6.2.1- Adjustments for Returned Products
iReps receive bonuses and commissions based on the actual sales of
products and services to end consumers. When a product is returned to
First Contact Network Affiliates for a refund or is repurchased by the
Company, the bonuses and commissions attributable to the returned or
repurchased product(s) will be deducted, in the month in which the
refund is given, and continuing every pay period thereafter until the
commission is recovered, from the up line iReps who received bonuses
and commissions on the sales of the refund products
6.3- Reports
All information provided by First Contact Network Affiliates in online
or telephone down line activity reports, including but not personal
partner volume( or any part thereof), and down line sponsoring
activity is believed to be accurate and reliable nevertheless due to
various factors including but not limited to the inherent possibility
of human and mechanical error, the accuracy, completeness, and
timeliness of orders, denial of credit card and electronic check
payments; returned products; credit and electronic check charge-backs;
the information is not guaranteed by First Contact Network Affiliates
or any persons creating or transmitting the information.
ALL PERSONAL AND GROUP SALES VOLUME INFORMATION IS PROVIDED “AS IS”
WITHOUT WAR5RANTIES, ECPRESS OR IMPLIED, OR REPRESENTATIONS OF ANY
KIND WHATSOEVER. IN PARTICULAR USE, OR NON-INFRINGEMENT. TO THE
FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, First Contact Network
Affiliates AND/OR OTHER PERSONS CRAETING OR TRANSMITTING THE
INFORMATION WILL IN NO EVENT BE LIABLE TO ANY DISTRIBUTOR OR ANYONE
ELSE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL OR
PUNITIVE DAMGES THAT ARISE OUT OF THE USE OF OR ACCESS TO PERSONAL AND
GROUP SALES VOLUME INFORMATION (INCLUDING BUT NOT LIMITED TO LOST
PROFITS BONUSES, OR COMMISSIONS, LOSS OF OPPORTUNITY, AND DAMAGES THAT
MAY RESULT FROM INACCURANCY, INCOMPLETENESS, INCONVENIENCE, DELAY OR
LOSS OF THE USE OF THE INFORMATION), EVEN IF First Contact Network Affiliates
OR OTHERS PERSONS CREATING OR TRANSMITTING THE INFORMATION SHALL HAVE
BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, TO THE FULLEST EXTENT
PERMITTED BY LAW, First Contacts Network Affiliates OR OTHER PERSONS
CREATING ELSE UNDER ANY TORT, CONTACT, NEGLET WE, STRICT LIABILITY,
PRODUCT LIABILITY OR OTHER THEORY WITH RESPECT TO ANY SUBJECT MATTER
OF THIS AGGREEMENT OT TERMS AND CONDITIONS RELATED THERETO.
Access to and use of First Contacts Network Affiliates online and
telephone reporting services and your reliance upon such information
is at your own risk. All such information is provided to you “as is”.
If you are dis certisfied with the accuracy or quality of the I
formation your sole and exclusive remedy is to discontinue use of and
access First Contacts Network Affiliates online and telephone
reporting services and your reliance upon the information.
SECTION 7- PRODUCT GUARANTEES AND RETURNS
7.1- Product Guarantee
First Contactst Network Affiliates offers a 30-day money-back
satisfaction guarantee(less shipping charges and fees) to all direct
customer and iReps. If for any reason a Direct Customer or iRep is
dissatisfied with any First contacts Network Affiliates product, he
or she may return the unused portion of the product to First contacts
Network Affiliates for full refund (less shipping charge) within 30
days from the day of purchase.
7.2- Product for all returns
The following procedures apply to all refund, repurchased it directly
from First contacts Network Affiliates
* All merchandise must be returned by the iRep or Direct Customer who
purchased it directly from First Contacts Network Affiliates
* All products to be returned must have a Return Authorization Number
which is obtained by calling the customer service department. This
Return Authorization Number must be written on each carton returned
* The return is accompanied by: a copy of the original dated retail
sales receipt; the unused portion of the product its original
container.
* Proper shipping carton(s) and packing materials are to be used in
packaging the product(s) being returned for replacement, and the best
and most economical means of shipping is suggested. All returns must
be shipped to First Contact Network Affiliates shipping pre-paid First
Contacts Network Affiliates does not accept shipping-collect
packages. The risk of loss in shipping for returned product shall be
on the iRep. If returned product is not received by the Company’s
Distribution Centre, it is the responsibility of the iRep to trace the
shipment
No refund or replacement of product will be made if the condition of
these rules are not met.
SECTION 8 – DISPUTE RESOLUTION AND DISCIPLINARY PROCEEDINGS
8.1 – Disciplinary Sanctions
Violation of the agreement, these terms and conditions, violation of
any common law duty, including but not limited to any applicable duty
of loyalty, any illegal, fraudulent, deceptive or unethical business
conduct, or any act or omission by an iRep that, in the sole
discretion of the company may damage it’s reputation or good will
(such damaging act or omission need not be related to the iRep’s First
contact Network Affiliates business), may result, at First Contacts
Network Affiliate’s Partners discretion, in one or more of the
following corrective measures;
* Issuance of a written warning or admonition;
* Requiring the iRep to take immediate corrective measure;
* Imposition of a fine, which may be withheld from bonus and commission table;
* Loss of rights to one or more bonus and commission checks
* First Contacts Network Affiliates may withhold from an iRep all or
part of the iRep’s bonuses and commissions during the period that
First Contacts Network Affiliates is investigating any conduct
allegedly in violation of the agreement. If an iRep’s business is
cancelled for disciplinary reasons, the iRep will not be entitled to
recover any commission withheld during the investigation period;
* Suspension of the individual’s iRep agreement for one or more pay period;
* Involuntary termination of the offender’s iRep agreement;
* Suspension and/or termination of the offending iRep’s First Contact Network
Affiliates website or website access;
* Any other measure expressly allowed within any provision of the
agreement or which First Contact Network Affiliates practicable to implement
and appropriate to equitably resolve injuries caused partially or
exclusively by the iRep’s policy violation or contractual breach;
* In situation deemed appropriate by First Contact Network Affiliates, the
company may institute legal proceedings for monetary and/or equitable
relief.
8.2 – Grievances and Complaints
When an iRep has a grievance or complaint with another iRep regarding
any practice or conduct in relationship to their respective First Contact
Network Affiliates businesses, the complaining iRep should first
report the problem to his or her Sponsor who should review the matter
and try to resolve it with the other party’s up line sponsor. If the
matter involves interpretation or violation of Company policy, it must
be reported in writing to the Customer Service Department at the
Company The Customer Service department will review the facts and
attempt to resolve it.
8.3 Mediation
Prior to instituting an arbitration, the parties shall meet in good
faith and attempt to resolve any dispute arising from or relating to
the Agreement through non-binding mediation. One individual who is
mutually acceptable to the parties shall be divided equally between
the parties. Each party shall pay its portion of the anticipated
shared fee and costs at least 10 days in advance of the mediation
